End User Licence Agreement

This End User Licence Agreement ("EULA") is a legal agreement between you ("User", "you") and Wurk Pty Ltd (ABN 18 606 911 371), trading as Floor40 ("Licensor", "we", "us"), for the use of the Floor40 desktop application ("Software").

By installing or using Floor40, you agree to be bound by this EULA.

1. Grant of Licence

Subject to the terms of this EULA and your active subscription, we grant you a limited, non-exclusive, non-transferable, revocable licence to:

  • Install and use Floor40 on devices owned or controlled by you
  • Use Floor40 for your internal business purposes
  • Access and use knowledge packs included with your subscription tier

2. Licence Restrictions

You may not:

  • Copy, modify, or distribute Floor40 or any part thereof
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of Floor40
  • Remove, alter, or obscure any proprietary notices or labels
  • Sublicense, rent, lease, or lend Floor40 to any third party
  • Use Floor40 to develop a competing product or service
  • Attempt to decrypt, extract, or redistribute knowledge packs
  • Circumvent any licensing, authentication, or access control mechanisms
  • Use Floor40 in any manner that violates applicable laws

3. Subscription Requirement

Floor40 requires an active subscription for full functionality. Without an active subscription:

  • AI-powered features will be disabled
  • Knowledge packs will not be accessible
  • Software updates will not be available
  • Your locally stored data will remain accessible on your device

4. Knowledge Packs

Knowledge packs are proprietary content delivered as part of your subscription. They are encrypted and licensed, not sold. Knowledge packs remain the intellectual property of Wurk Pty Ltd and may not be extracted, decrypted, copied, or redistributed.

5. AI Features

Floor40 offers AI-powered features through:

  • Cloud Mode: Using your own API key (OpenAI or Anthropic). Queries are sent directly from your device to the AI provider. We do not intercept, store, or have access to these communications.
  • Local Mode: Using Ollama on your device. All AI processing occurs locally with no external data transmission.

AI-generated insights are for informational purposes only and should not be relied upon as professional financial, legal, or tax advice.

6. Data and Privacy

Floor40 stores all business data locally on your device. We do not have access to, collect, or process your business data. You are solely responsible for the security and backup of your local data. For full details, see our Privacy Policy.

7. Updates

We may release updates to Floor40 from time to time. Updates may include bug fixes, new features, security patches, and knowledge pack updates. With an active subscription, updates will be delivered automatically via the in-app updater.

8. Intellectual Property

Floor40, including all code, design, content, knowledge packs, and documentation, is the intellectual property of Wurk Pty Ltd and is protected by Australian and international copyright, trademark, and intellectual property laws. This EULA does not grant you any ownership rights in Floor40.

9. Disclaimer of Warranties

To the maximum extent permitted by Australian Consumer Law, Floor40 is provided "as is" without warranty of any kind. We do not warrant that Floor40 will be error-free, uninterrupted, or meet your specific requirements. Business insights generated by Floor40 are based on the data you provide and may not be complete or accurate.

10. Limitation of Liability

To the maximum extent permitted by law, Wurk Pty Ltd shall not be liable for any loss of data, loss of profits, business interruption, or any indirect, incidental, special, or consequential damages arising from the use or inability to use Floor40. Our total liability shall not exceed the subscription fees you paid in the 12 months preceding the claim.

Nothing in this EULA excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

11. Termination

This licence is effective until terminated. We may terminate this licence if you breach any term of this EULA. Upon termination:

  • Your right to use Floor40 ceases immediately
  • You must uninstall and destroy all copies of Floor40
  • Your locally stored data remains on your device

12. Governing Law

This EULA is governed by the laws of the State of Victoria, Australia. Any disputes shall be resolved in the courts of Victoria, Australia.
